The Annual General Meeting: The Shareholders’ Decision-Making Body

Shareholders exercise their rights, including their right to vote, at the Annual General Meeting. Every share entitles the holder to one vote.

The Ordinary Annual General Meeting is held once a year – usually within the first six months of each fiscal year. The agenda for the Annual General Meeting, including the reports and documents required for the Annual General Meeting, is also published here and can be sent by email, if so desired.

In order to aid shareholders in personally exercising their voting rights, Beiersdorf AG provides a voting representative to cast shareholders’ votes in accordance with their instructions. The invitation to the Annual General Meeting describes how shareholders can give instructions in the run-up to the Meeting on how their voting rights should be exercised. This does not affect shareholders’ rights to have a proxyholder of their choice cast their votes or to submit their votes by postal votes. In addition Beiersdorf AG gives its shareholders the opportunity to use an online voting system to follow the Annual General Meeting, as well as to submit postal votes and issue proxies and instructions to the voting representative appointed by the Company.

Information relevant to Annual General Meeting 2020

Due to the spread of the coronavirus, Beiersdorf AG will hold its initially postponed Annual General Meeting (AGM) as a virtual AGM on the originally scheduled date: April 29, 2020. This was decided by the Executive Board and the Supervisory Board of the company.

The decision to hold this year’s online AGM is based on a recent initiative of the German legislator, which allows for purely virtual annual general meetings without physical presence (online AGM) in 2020 in response to the health risks posed by the coronavirus.
